Structure
Royal Africa Holdings operates under a structured governance system comprising a Board of Directors, shareholders, and independent auditors. The Board oversees the Annual General Meeting of Shareholders, where investors with significant stakes in the company influence the agenda. Shareholders elect auditors annually, approve financial reports, and wield additional powers as outlined by law and the company’s constitution.
The Chairman’s and Governance Committee nominate board members who serve three-year terms. They convene six times a year to discuss and vote on company matters. The Executive Board shapes the company’s strategies and approves compensation principles guided by the compensation committee. It also has the authority to establish committees for specific management tasks.
Royal Africa Holdings’ Shared Services department supports various functions, such as Research and Development, Risk Management, Legal, IT, and Marketing, across all divisions and subsidiaries. While focusing on Africa, we maintain strategic interests in Europe, the Middle East, America, and beyond.
